STACCATO 2011, LLC – CARE PROGRAM INITIAL ACKNOWLEDGEMENTS (SUBSCRIPTION)

IMPORTANT — PLEASE READ: “Customer,” “I,” “me,” and “my” mean the individual participating in the Staccato 2011, LLC (“Staccato”) CARE Program (“CARE”). CARE is a SUBSCRIPTION‑BASED maintenance program for eligible Staccato pistols (the “CARE Program”). CARE consists of the inspection, maintenance, and cleaning services described in the CARE Program Terms & Conditions (“Terms”) and Exhibit C thereto, which Staccato may update or modify at any time. The Terms and all Exhibits are incorporated by reference. Exhibit C describes the range of services that may be performed, not a mandatory checklist; Staccato, in its sole discretion, determines which services (if any) are appropriate for each submission. These Initial Acknowledgements (“Acknowledgements”) are collected to establish my eligibility, qualifications, and compliance for participation in CARE, and to confirm my responsibilities and consents. All statements, certifications, representations, warranties, acknowledgements, and consents that I make in or with the Acknowledgements and/or CARE (collectively, “Customer Statements”) are true, correct, and complete when made, are provided under penalty of perjury, and are, and shall remain, legally binding upon me. CARE is NOT a sale, trade‑in, warranty extension, or purchase program and does NOT transfer title. Staccato may refuse, decline, suspend, or limit services at any time, and CARE availability, offerings, rules, and eligibility may change at any time. Any capitalized term not defined in the Initial Acknowledgements shall have the meaning assigned to it in the Terms.

Customer further acknowledges that Exhibit A (Unsafe Modifications) and Exhibit B (Non Compliance Declination & Liability Waiver) to the Terms are incorporated by reference. The presence or suspected presence of any Unsafe Modification or non compliant configuration automatically renders the firearm ineligible for CARE. Staccato has no duty to detect, diagnose, remediate, or correct any such conditions, and any return may occur without service and may occur in a disassembled state where required for safety, compliance, or legal reasons. Customer remains solely responsible for all risks and all post return handling.

  1. Eligibility. In order to be considered eligible for CARE, I represent that I am the original purchaser of a new Staccato pistol purchased directly from Staccato’s website and I am legally permitted to possess firearms. Only Staccato models are eligible.
  2. Subscription Status. I acknowledge that CARE is a subscription service. My right to submit the assigned firearm for CARE services is conditioned on an active, fully paid subscription. For CARE, each subscription is assigned to one (1) eligible Staccato pistol that I purchased directly from Staccato’s website and may not be transferred, shared, or applied to any other firearm; a separate active subscription is required for each additional firearm. Staccato may require proof of subscription and proof of eligibility for the specific firearm prior to acceptance or service.
  3. Ownership; Lawful Possession. I am the sole lawful owner of the firearm submitted. It is not stolen, lost, blacklisted, or subject to an investigative hold.
  4. Proof of Eligibility; Non‑Transferability. I will provide the Staccato2011.com order confirmation and government‑issued identification upon request. The CARE subscription is personal to me and may not be transferred, loaned, shared, sublicensed, or used for third‑party firearms.
  5. Truthful Submissions. All information I provide and acknowledge is true, accurate, complete, and not misleading. I am obligated to disclose all modifications, coatings, milling, and conditions affecting function or safety. Without limiting the foregoing, I further represent, warrant, certify, and agree — under penalty of perjury — that:
    1. Sole Ownership; Title. I am the sole lawful owner of the firearm with full, clear, and unencumbered title.
    2. Lawful Possession & Eligibility. I am legally permitted to possess, ship, and transfer the firearm for service under all applicable federal, state, and local laws.
    3. Serialization Intact. No serial number on the firearm (or any serialized component) has been removed, altered, or defaced.
    4. No Illegal Configuration. The firearm has not been illegally modified (including any machinegun conversion device, auto sear, or otherwise unregistered NFA-regulated configuration). I will not ship any NFA-regulated item unless Staccato gives prior written approval.
    5. No Criminal/Nefarious Purpose. The firearm was not used or obtained in connection with, and is not being submitted to Staccato to facilitate, any unlawful, criminal, fraudulent, or nefarious activity. I am not sending the firearm to Staccato to conceal, destroy, alter, or sanitize evidence, evade law enforcement or legal process, or circumvent any background-check, transfer, or prohibition.
    6. No Straw or False Statements. I will not engage in or facilitate any straw transaction or false statement in connection with CARE.
    7. Rights in Materials. I have full lawful rights to all photographs, images, descriptions, and materials I provide, if any. I grant Staccato a perpetual, royalty free, transferable license to use, store, review, analyze, and rely upon such materials for CARE-related or other lawful purposes, including inspection, verification, compliance, fraud prevention, marketing, and cooperation with law enforcement.
    8. Full Disclosure of Modifications. I have fully and accurately disclosed all prior coatings, aftermarket parts, repairs, alterations, milling/optic cuts, trigger work, safety-component changes, and any other material conditions that may affect function or safety.
    9. Shipping Compliance. I will comply with all carrier, ATF, federal, state, and local rules and with Staccato’s “Packaging Standard,” which requires the firearm be shipped unloaded; with the slide locked to the rear; no ammunition included; a chamber flag preferably inserted; and properly double‑boxed (a rigid inner case placed inside a new, appropriately sized corrugated outer carton with adequate cushioning on all sides and tamper‑evident sealing), with correct labeling and documentation. I understand that the Packaging Standard may be updated by Staccato at any time, and that any transit loss or damage consistent with inadequate or non‑compliant packaging may be presumed to be my responsibility for fee purposes unless rebutted with contemporaneous carrier documentation demonstrating Packaging‑Standard compliance and carrier mishandling.
    10. Compliance Checks. I consent to Staccato performing serial number and database checks (including queries to stolen gun databases and ATF trace requests) and cooperating with law enforcement where appropriate.
    11. Consequences. I understand that any inaccuracy, omission, discrepancy, unlawful condition, or policy violation may result in rejection of service, return without service (which may be disassembled for safety/compliance), applicable processing/return fees, storage charges, and forfeiture/disposition timelines as provided in the Terms & Conditions.
    12. Illegal / Criminal Activity; No Duty to Investigate; Mandatory Surrender. I acknowledge and agree that Staccato is not a custodian of contraband and will not participate in or facilitate any unlawful or improper activity. I further acknowledge that Staccato has no duty or obligation to investigate, verify, detect, or identify unlawful conditions, crimes, or evidentiary issues, and that any compliance or safety checks Staccato elects to perform are discretionary and do not create any duty to me or any third party. If Staccato determines or reasonably suspects that the firearm (or any serialized component) was used in, obtained through, connected to, or is being submitted to conceal, obstruct, sanitize, alter, or destroy evidence of any unlawful, criminal, fraudulent, or nefarious activity—including, without limitation, illegal possession or transfer, illegal configuration, stolen or “blacklisted” status, or any investigative hold—Staccato may, in its sole discretion and without notice or liability to me: (i) refuse, suspend, or halt CARE service; (ii) place the firearm into temporary or indefinite compliance hold; (iii) surrender, release, or deliver the firearm to federal, state, or local law enforcement; and (iv) comply with any seizure, retention, evidentiary, or investigative directive. No service or return will occur unless and until law enforcement authorizes its return to Staccato in writing. If law enforcement does not release the firearm, I am not entitled to any refund, credit, replacement, or other compensation. I further understand and agree that Staccato may provide law enforcement or regulators with documentation, photographs, serial number information, inspection notes, and any other materials submitted or generated during the CARE process.
  6. Scope of CARE Services. I understand that CARE consists of the inspection, repair and maintenance services set forth in Exhibit C, which may be updated by Staccato at any time. I acknowledge that Exhibit C describes the range of services that may be performed, not a mandatory checklist, and that Staccato has sole discretion to determine which services are appropriate, safe, or necessary for a particular submission. Notwithstanding the foregoing, Staccato will replace certain springs with each service. I further acknowledge that I am not relying on any expectation that all listed services will be performed on every firearm. Staccato does not install aftermarket components under CARE.
  7. Unsafe Modifications — Zero‑Tolerance; Warranty Void; No Duty; No Liability; Return/Disassembly/Disposition; Proceed at Your Own Risk. I acknowledge the Unsafe Modifications listed in Exhibit A (“Unsafe Modifications”). If any are present, the firearm is ineligible for CARE and all applicable Staccato warranties are void. I further acknowledge and agree that: (i) Staccato has no duty or obligation to investigate, detect, identify, diagnose, or remediate any unsafe condition or modification, and any checks Staccato elects to perform are discretionary and do not create any duty to me or to any third party; (ii) Staccato may, in its sole discretion, refuse or halt service, and may return the firearm un‑serviced and/or disassembled, or hold, surrender, dispose of, or otherwise handle the firearm as required or permitted by law and Staccato policy, including any safety or compliance directive; (iii) if Staccato returns any firearm containing (or previously containing) Unsafe Modifications, Staccato DISCLAIMS ALL LIABILITY OF ANY KIND for any performance, function, safety, handling, assembly, testing, or use of the firearm or components after return—CUSTOMER PROCEEDS AT THEIR OWN RISK; (iv) Staccato will not be responsible for restoring any unsafe or non‑compliant configuration to a safe condition unless Staccato separately agrees in writing (and then only as expressly agreed); and (v) I RELEASE, DISCHARGE, AND HOLD HARMLESS Staccato and its affiliates from any and all claims, losses, damages, injuries, or liabilities of any kind arising out of or relating to the presence, performance, effects, installation, removal, substitution, interaction, or use of any Unsafe Modification or non‑compliant aftermarket component, whether pre‑existing, remaining, or re‑installed by me or any third party.
  8. Aftermarket / Non‑Compliant Configurations. If non‑compliant parts are found, Staccato may, in its discretion, decline service in the current configuration and offer me the option to authorize reinstallation of factory components (if available) at my expense or return without service. A Non‑Compliance Waiver is required before any return. I understand that a firearm returned without service may need to be facilitated through a third-party FFL located in my state of residence and involve a Form 4473 transaction. I am responsible for all FFL and carrier fees if Staccato determines that a Form 4473 transaction through a third-party FFL is necessary based the presence of non-compliant parts in my firearm.
  9. Shipping; Packaging; FFL Requirements. I am solely responsible for packaging and carrier compliance. Any loss or damage in transit that is consistent with inadequate, non‑compliant, or tamper‑evidently deficient packaging will create a rebuttable presumption that I am responsible for such loss or damage, which I may rebut only with contemporaneous carrier documentation showing Packaging‑Standard compliance and carrier mishandling. In any event, I understand Staccato is not responsible for carrier performance.
  10. Designated In‑State FFL for Return. If Staccato determines that legal return requires a Form 4473 through a third-party FFL (including without limitation an occasion where Staccato assesses that the firearm was not shipped to Staccato solely for purposes of repair or customization), I will designate an FFL located in my state of residence to facilitate the return transaction. Staccato may select an alternate valid FFL located in my state of residence if the FFL I designate is invalid, unavailable, or unwilling to facilitate the return transaction. I am responsible for all FFL and carrier fees if Staccato determines that a Form 4473 transaction through a third-party FFL is necessary.
  11. Law‑Enforcement / Database Checks. While I understand and acknowledge that Staccato is under no duty, I consent to compliance checks, including serial‑number verification via the FBI’s National Crime Information Center’s (NCIC) stolen firearms database.
  12. Acknowledgment of Terms. I agree that the CARE Terms & Conditions govern upon my initial sign-up and registration with CARE.

STACCATO 2011, LLC – CARE PROGRAM TERMS AND CONDITIONS

Customer,” “you,” “I,” “me,” and “my” mean the individual agreeing to these Staccato 2011, LLC (“Staccato”) CARE Program (“CARE” or “CARE Program”) Terms & Conditions (“Terms”). Signing up for CARE, submitting these Terms and/or shipping any firearm for CARE does not bind Staccato to perform any service; all services are subject to Staccato’s inspection, safety and compliance determinations, scheduling, parts availability, and fair‑use limits, and any preliminary confirmation or estimate is non‑binding and may be revised or declined in Staccato’s sole discretion. CARE is a subscription maintenance program—not a sale, trade‑in, or purchase—and no title transfers. These Terms, together with the Exhibits and CARE Initial Acknowledgements (“Acknowledgements”), govern exclusively. All statements, certifications, representations, warranties, acknowledgements, and consents that I make in connection with CARE (collectively, “Customer Statements”) are true, correct, and complete when made, are provided under penalty of perjury, and are and shall remain legally binding upon me. Any capitalized term not defined in these Terms shall have the meaning assigned to it in the Acknowledgements. “Program Materials” means, collectively, these Terms, the Initial Acknowledgements, and all Exhibits.

  1. Subscription Program; Term; Access; Auto Renewal. CARE is a subscription‑based maintenance program. During any active paid subscription term, Customer may submit the assigned firearm for CARE services from time to time, subject to Staccato’s inspection, safety determinations, scheduling, parts availability, compliance requirements, and fair‑use limits. Unless otherwise stated in a Staccato order confirmation, the subscription automatically renews until canceled. For clarity, each active subscription is assigned to one (1) specific eligible Staccato pistol and is not transferable to any other firearm. Fees are non‑refundable and not prorated.
  2. Billing; Renewal; Customer Opt‑Out. Billing recurs on the frequency communicated at initial registration with CARE or as subsequently updated by Staccato in accordance with these Terms. Unless otherwise stated in a Staccato order confirmation, the subscription automatically renews until canceled by Customer, and cancellation is effective at the end of the then‑current paid term. Staccato may, in its sole and absolute discretion, change any aspect of CARE—including pricing, billing frequency, service offerings, eligibility, features, and geographic availability—by providing notice at least thirty (30) days prior to the effective date of the change. If Customer does not cancel by the effective date stated in the notice, Customer is deemed to have accepted the change without further action by Staccato. Fees are non‑refundable and not prorated. Unless expressly stated otherwise in a signed writing by Staccato, Customer is responsible for all inbound/outbound shipping, insurance, and third-party FFL fees associated with a firearm that is returned without service under CARE; any promotional shipping benefit applies only as expressly described and may be modified or withdrawn by Staccato at any time.
  3. Fair Use; Submission Management. CARE access is provided on an as needed, fair use basis. Staccato, in its sole discretion, may set or adjust reasonable submission frequency, scheduling windows, service depth, and parts availability limits based on routine maintenance intervals, operational capacity. Staccato may refuse, defer, reschedule, consolidate, limit, or require pre-authorization for submissions it deems abusive, excessive, duplicative, unsafe, unlawful, non compliant, inconsistent with maintenance best practices and/or otherwise prohibited by law. Staccato’s determinations under this Section are final and may be applied per Customer and/or per firearm (including the assigned firearm) without notice, and repeated attempts to evade fair use limits constitute grounds for suspension or termination of CARE access without refund. By way of example only, Staccato may space submissions by reasonable intervals, cap the number of concurrent submissions, and/or consolidate overlapping requests for the same firearm.
  4. Nonpayment; Suspension; Reinstatement. If payment cannot be processed, Staccato may suspend CARE services immediately. Reinstatement occurs only upon successful payment and payment of any applicable reinstatement or administrative fees quoted by Staccato; Staccato has no obligation to expedite, prioritize, or otherwise accelerate any service paused due to nonpayment, and Customer may lose any previously scheduled slot or queue position. During any suspension, storage and other applicable charges may accrue in accordance with these Terms. If amounts remain unpaid after notice, Staccato may treat the matter under Section 15 of the Terms, and Customer remains responsible for all related carrier, insurance, FFL, processing, collection costs, and interest as permitted by law.
  5. Service Scope; Replaced Parts; Customer Supplied/Aftermarket Parts. CARE services are described in Exhibit C and will be performed as Staccato deems appropriate in its sole and absolute discretion after inspection. Staccato alone determines necessary tasks and replacements. Unless Staccato agrees in a signed writing to return a specific removed or replaced part, all replaced parts become Staccato property upon replacement; for safety reasons, certain parts will not be returned. Staccato does not install customer supplied or aftermarket parts under CARE. If Customer later installs or reinstalls any aftermarket parts or third party modifications, all Staccato warranties are void and Staccato has no responsibility for any resulting performance or safety condition.
  6. Exclusions. CARE does NOT include manufacturing activities, creation of new frames/receivers, re‑serialization, marking changes, engraving into metal, third‑party milling or coating, or installation of aftermarket parts. CARE also does not include: (i) custom gunsmithing or performance tuning outside routine repair and maintenance services; (ii) modification of design intent, tolerances, or geometry of factory components unless otherwise upgraded in the ordinary course of manufacturing operations; (iii) third‑party optic cuts, serrations, ports or compensator cuts, or metal‑removal work of any kind; (iv) application, removal, or correction of third-party coatings (including Cerakote) or non‑Staccato finishes; (v) non‑maintenance cosmetic work or refinish requests; (vi) installation, fitting, or adjustment of customer‑supplied, non‑Staccato, or non‑compliant components or accessories; (vii) any work that would require new or altered serial markings, ATF variances, or other manufacturing authorizations; (viii) work on NFA‑regulated configurations or privately made firearms (PMFs) unless Staccato gives prior written approval; or (ix) any service Staccato, in its sole and absolute discretion, determines is unsafe, unlawful, outside routine maintenance, or otherwise inconsistent with Staccato policy. Staccato, in its sole discretion, may refuse, decline, or halt any requested service outside the scope of the CARE Program, and has no duty or obligation to investigate, detect, identify, diagnose, or remediate any condition beyond the maintenance services Staccato elects and agrees to perform on each occasion the assigned firearm is submitted to Staccato for CARE. Staccato does not install, adjust, or correct aftermarket or non‑compliant components, and has no obligation to restore any firearm to a safe condition. Any Unsafe Modification or non‑compliant configuration is governed exclusively by Exhibits A and B.
  7. Unsafe Modifications (Exhibit A).
    1. If any Unsafe Modification is present, CARE is unavailable. Staccato does not promise to make any firearm “safe” for return and has no duty or obligation to investigate, detect, identify, diagnose, or remediate any unsafe condition or modification, whether in relation to an Unsafe Modification or otherwise; any checks Staccato elects to perform are discretionary and do not create any duty to Customer or to any third party. If Staccato determines or suspects in its discretion that an Unsafe Modification is present or that service or return in the current configuration would be unsafe or unlawful, Staccato may, in its sole and absolute discretion and without liability to Customer, (i) refuse or halt service; (ii) place the firearm into temporary or indefinite compliance hold; (iii) surrender, release, or deliver the firearm to federal, state, or local law enforcement, or comply with any seizure, retention, or evidentiary directive; or (iv) return the firearm without service in a disassembled state and/or via Customer’s designated in‑state FFL where legally required. All applicable Staccato warranties are void in such circumstances. If any firearm is returned after such determination, Staccato DISCLAIMS ALL LIABILITY OF ANY KIND for any subsequent performance, function, safety, handling, assembly, testing, or use of the firearm or components—CUSTOMER PROCEEDS AT THEIR OWN RISK. Staccato will not be responsible for restoring any unsafe or non‑compliant configuration to a safe condition unless Staccato separately agrees in a signed writing (and then only as expressly agreed). For the avoidance of doubt, Staccato strongly advises against any Unsafe Modification: it voids applicable Staccato warranties, makes the firearm ineligible for CARE, and may create serious safety risks to the user and others; Staccato does not endorse or approve such conditions.
    2. Exhibit A (Unsafe Modifications) and Exhibit B (Non‑Compliance Declination & Liability Waiver) form part of these Terms. For the avoidance of any doubt, the presence, suspected presence, or later discovery of any Unsafe Modification or non‑compliant component voids all applicable warranties and renders the firearm ineligible for CARE. Nothing in these Terms obligates Staccato to identify, explain, or remedy any unsafe, unlawful, or non‑compliant condition.
  8. Aftermarket / Non‑Compliant Components; Required Waiver. If non compliant aftermarket parts and/or components are found, Staccato will notify Customer and decline CARE service in the firearm’s current configuration. Customer may (a) authorize reinstallation of factory components (if available) at Customer’s expense, after which Staccato may proceed if the firearm is then eligible; or (b) request return without service. Before any return where non compliant components remain, Customer must sign the CARE Non Compliance Declination & Liability Waiver (Exhibit B), acknowledging that no service will be performed and that STACCATO ASSUMES NO LIABILITY OF ANY KIND for the presence, performance, effects, installation, removal, substitution, interaction, or use of any aftermarket parts or Unsafe Modifications. For safety and/or compliance reasons, the firearm may be returned disassembled, and Customer remains responsible for all applicable carrier, insurance, storage, retrieval and compliance fees, and any fees charged by a third-party FFL to facilitate a return to Customer under a Form 4473 transaction, unless Staccato agrees otherwise in a signed writing.
  9. Shipping; Packaging; Carrier & FFL Rules. Customer must ship unloaded, slide locked to the rear, double‑boxed (rigid inner case inside a new, appropriately sized corrugated outer carton with adequate cushioning and tamper‑evident sealing), using Staccato‑issued labels or through a licensed FFL if required by carrier policy or law. Customer will comply with all carrier, ATF, federal, state, and local rules, and with Staccato’s Packaging Standard. If Staccato determines that legal return requires a Form 4473 through a third-party FFL (including without limitation an occasion where Staccato assesses that the firearm was not shipped to Staccato solely for purposes of repair or customization), Customer acknowledges and accepts that an FFL located in Customer’s state of residence may need to facilitate a return transaction.
  10. FFL Default; Customer Failure; Alternate FFL. If Customer does not timely provide a valid in‑state FFL when required, or if the designated FFL is invalid, unavailable, unwilling, or unable to receive, Staccato may select an alternate valid in‑state FFL within a reasonable radius of Customer’s last known address. Customer authorizes shipment to such alternate FFL and remains responsible for all third-party FFL transfer, storage, retrieval, compliance, and carrier fees. Staccato has no liability for delays or costs arising from Customer’s failure to designate a compliant FFL.
  11. Packaging Presumption; Insurance Encouraged. Transit damage or loss consistent with inadequate, non‑compliant, or tamper‑evidently deficient packaging under the Packaging Standard creates a rebuttable presumption of Customer responsibility for fee purposes. Customer may rebut only with contemporaneous carrier documentation (including photos and incident reports) demonstrating compliant packaging and carrier mishandling. Staccato bears no responsibility for carrier performance, delivery errors, or delays outside Staccato’s custody. Customer is strongly encouraged to insure all shipments for full replacement value.
  12. Inspection; Confirmations/Quotes; Approvals; No Duty to Explain. After receipt and safety check, Staccato may perform inspection and, if appropriate, issue a service confirmation, quote and/or estimated service time. Staccato may decline or halt service at any time for safety, legal, subscription, capacity, parts‑availability, or business reasons in Staccato’s sole discretion. Staccato has no obligation to disclose internal inspection methods, analyses, test results, acceptance/rejection criteria, or reasons for any determination.
  13. Documentation; Records. Customer authorizes Staccato to create, retain, and use photographs, videos, inspection notes, torque logs, test‑fire data, service checklists, and other records generated during CARE for safety, quality, training, compliance, fraud‑prevention, dispute-resolution, and law‑enforcement cooperation. Such records are Staccato property and may be retained or disclosed as Staccato deems appropriate and lawful.
  14. Bailment; Risk of Loss; Declared Value.
    1. Bailment; Standard of Care; Liability Limits (Texas).
      1. BAILMENT NOTICE. BY SUBMITTING ANY FIREARM FOR CARE, CUSTOMER ACKNOWLEDGES THAT THIS SECTION IS A MATERIAL TERM OF THE BAILMENT AND FORMS PART OF THE BAILMENT CONTRACT AT OR BEFORE THE TIME STACCATO RECEIVES THE FIREARM FOR CARE SERVICES.
      2. Bailment and Care. While in Staccato’s custody before service completion and return, the firearm submitted for CARE is held as a commercial bailee, and Staccato will exercise ordinary care in safeguarding it. Title and risk remain with Customer until service is complete and the firearm has been tendered to the designated carrier or Staccato has issued written completion/return notice.
      3. Liability Limitation. TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW, STACCATO’S LIABILITY FOR LOSS OF OR DAMAGE TO A FIREARM SUBMITTED UNDER CARE CAUSED BY STACCATO’S ORDINARY NEGLIGENCE IS LIMITED TO THE LEAST OF: (A) THE DOCUMENTED COST OF REPAIR; (B) THE FAIR MARKET VALUE OF THE FIREARM AT THE TIME OF RECEIPT AS REASONABLY DETERMINED BY STACCATO; OR (C) $500. NO OTHER FORM OF LIABILITY IS ASSUMED OR IMPLIED.
      4. Higher Declared Value Option. Customer may request a higher liability limit solely by providing a signed written declaration of value and prepaying all additional fees quoted by Staccato. A higher liability limit applies only if Staccato expressly accepts the declared value in a separate written agreement executed by Staccato before shipment. If Staccato does not execute such written acceptance prior to shipment, the standard $500 limitation remains fully binding and enforceable without exception.
      5. Exclusions and Non Staccato Causes. Staccato is not responsible for any loss, damage, defect, deterioration, or condition of a firearm it receives under CARE unless such loss or damage was caused solely, directly, and exclusively by Staccato. Staccato has no responsibility whatsoever for any loss or damage arising from, relating to, or caused in whole or in part by: improper or non compliant packaging; carrier handling, delay, or mishandling; transit conditions; hidden or latent defects; pre existing wear or conditions; Customer alterations, modifications, coatings, or parts; environmental or storage conditions; accidental events; or any force majeure or external circumstances. All such risks remain entirely with Customer.
    2. Contractual Possessory Lien & Storage. Staccato has a contractual possessory lien on any firearm it receives under CARE while in its custody to secure unpaid fees, shipping/return charges, inspection/testing costs, and storage charges. Any firearm that Staccato receives under CARE awaiting Customer action after Staccato’s notice may incur storage beginning on the date specified in the notice.
    3. Right to Reject; Returns; Fees; Storage; Forfeiture. Staccato may reject, suspend, or discontinue CARE or any firearm submitted in connection therewith for service at any time and for any reason, including without limitation Customer‑fault conditions such as non‑compliance, improper or non‑compliant packaging, undisclosed modifications, Unsafe Modifications, abusive or excessive fair-use submissions, failure to follow shipping/FFL instructions or as otherwise required by law. If service is rejected for Customer‑fault, Customer is responsible for a non‑refundable US $50 processing fee, all carrier charges, and all third-party FFL transfer, storage, retrieval, compliance, and related fees, and Staccato may require prepayment. Rejected firearms awaiting Customer action may incur storage beginning on the date specified in Staccato’s notice and continuing until final disposition. If Customer fails to pay required fees or provide valid return instructions within sixty (60) days after such notice, Staccato may, where lawful, (a) return the firearm to a valid in‑state FFL upon prepayment; (b) deem the firearm abandoned and transfer title as permitted by law; (c) surrender the firearm to law enforcement; or (d) otherwise dispose of it as permitted by law; in any case, no compensation is owed to Customer and accrued charges remain Customer’s responsibility through final disposition.
    1. Limited Service Warranty; Disclaimers.
      1. Limited Service Warranty. For ninety (90) days from the date the serviced firearm is shipped back to Customer, Staccato warrants that the specific CARE service workmanship performed by Staccato on that submission conforms to Staccato’s service standards (“Limited Service Warranty”). This Limited Service Warranty covers only Staccato’s workmanship on the covered submission and does not extend to any pre existing condition, unrelated component(s), or any condition arising after return.
      2. Exclusions. This Limited Service Warranty does not cover and expressly excludes: (i) normal wear or cosmetic issues; (ii) ammunition related damage, malfunctions, or abnormal pressure events (including over pressure/“hot” loads, remanufactured, hand loaded, or improper caliber ammunition); (iii) misuse, abuse, neglect, inadequate maintenance, improper storage, or improper cleaning/assembly; (iv) any condition arising from or interacting with customer supplied, third party, or aftermarket parts or modifications (including coatings, milling, optic cuts, triggers, springs, or safety components); (v) any condition outside Staccato’s custody or control after return; and (vi) any firearm containing (or later fitted with) Unsafe Modifications or non compliant aftermarket parts and/or components. ALL WARRANTIES ARE VOID where Unsafe Modifications or non compliant aftermarket parts and/or components are present or re installed at any time.
      3. Claims Procedure. To make a claim under this Limited Service Warranty, Customer must (a) notify Staccato in writing within the ninety day (90) period, (b) provide reasonable proof of purchase/return date and a description of the alleged workmanship issue, and (c) follow Staccato’s return/inspection instructions, including shipping through a carrier/FFL method designated by Staccato within the timeframe designated by Staccato. Staccato may require photographs, videos, ammunition brand/lot information, magazines used, and other diagnostic details prior to authorizing any return for evaluation. Unauthorized returns may be refused.
      4. Exclusive Remedy. If Staccato confirms a covered workmanship nonconformity, Staccato, at its option, will (i) re perform the affected CARE service to conform to Staccato’s standards, or (ii) refund the CARE service fee actually paid for the affected task(s). THIS IS CUSTOMER’S SOLE AND EXCLUSIVE REMEDY FOR ANY CLAIM ARISING FROM CARE SERVICE WORKMANSHIP.
      5. No Extension / No Obligation to Explain. Inspection, evaluation, attempted repair, or advice by Staccato does not extend, restart, or expand the Limited Service Warranty period and does not obligate Staccato to disclose internal methods, analyses, or acceptance criteria.
      6. No Warranties on Customer/Aftermarket Configurations. STACCATO PROVIDES NO WARRANTY OF ANY KIND for the presence, performance, effects, interaction, or use of any customer supplied, third party, aftermarket, non compliant, or Unsafe Modification component or configuration, whether pre existing, remaining, or later installed.
      7. AS IS / AS AVAILABLE; No Other Warranties. EXCEPT FOR THE LIMITED SERVICE WARRANTY ABOVE, CARE SERVICES AND ANY PARTS PROVIDED BY STACCATO ARE FURNISHED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL OTHER WARRANTIES—EXPRESS, IMPLIED, OR STATUTORY—ARE DISCLAIMED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON INFRINGEMENT, QUALITY, OR QUIET ENJOYMENT. No oral or written information or advice given by Staccato or its representatives creates any warranty or modifies this Limited Service Warranty.
      8. No Third Party Beneficiaries. This Limited Service Warranty inures solely to the benefit of the original Customer for the covered submission and creates no rights in any other person or entity.
    1. Indemnity; Limitation of Liability (Non Bailment).
      1. Indemnity (Scope). Customer shall defend, indemnify, and hold harmless Staccato, its affiliates, successors and assigns, and their respective officers, directors, employees, contractors, representatives, and agents (collectively, the “Staccato Parties”) from and against any and all claims, demands, actions, investigations, losses, liabilities, damages, fines, penalties, judgments, costs, and expenses (including, without limitation, reasonable attorneys’ fees, expert fees, and enforcement/collection costs) arising out of or relating to: (i) the firearm’s condition, configuration, ownership, possession, history, legality, shipment, packaging, or handling; (ii) any inaccuracy, omission, discrepancy, or misrepresentation in any Customer statement, submission, description, photograph, or document; (iii) any violation of federal, state, or local law, regulation, or third party right; (iv) any unsafe, improper, unlawful, negligent, or intentional handling, storage, use, or misuse of the firearm by Customer; (v) Customer’s failure to comply with these Terms, the Packaging Standard, or shipping/FFL instructions; and (vi) the presence, performance, effects, interaction, installation, removal, substitution, or use of any aftermarket parts, third party modifications, or Unsafe Modifications.
      2. Duty to Defend; Settlement Control. The duty to defend is immediate upon written tender by Staccato and is separate from and broader than the duty to indemnify. At Staccato’s election, Staccato may (a) designate counsel of its own choosing and control the defense at Customer’s cost, with Customer promptly reimbursing and/or advancing all defense costs upon request; or (b) require Customer to retain and pay qualified counsel reasonably acceptable to Staccato, with Staccato retaining the right to monitor, participate in, and direct material aspects of the defense. No settlement, admission of liability, or stipulation that imposes any obligation on, or grants any relief against, Staccato may be entered without Staccato’s prior written consent, which may be granted or withheld in Staccato’s sole and absolute discretion. If Customer fails to promptly assume and diligently conduct the defense when required, Staccato may do so, and all resulting fees, costs, and expenses shall be borne by Customer on demand.
      3. Primary and Non Contributory. Customer’s defense and indemnity obligations are primary and non contributory with any insurance available to Staccato and apply in addition to, and without limitation of, any other rights or remedies Staccato may have at law or in equity.
      4. Limitation of Liability (Non Bailment). Except for Staccato’s limited bailee liability expressly stated in the Bailment; Risk of Loss; Declared Value provisions—which exclusively govern any loss of or damage to a firearm while in Staccato’s custody prior to return—ALL OTHER CLAIMS, LOSSES, OR LIABILITIES OF ANY KIND ARISING OUT OF OR RELATING TO CARE, THESE TERMS, OR ANY FIREARM (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, STATUTE, OR OTHERWISE) ARE SUBJECT TO THE FOLLOWING LIMITS: TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF STACCATO AND ITS AFFILIATES, SUCCESSORS AND ASSIGNS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS FOR ANY AND ALL SUCH NON‑BAILMENT CLAIMS SHALL NOT EXCEED, PER FIREARM AND PER SUBMISSION, THE LESSER OF: (I) THE FEES ACTUALLY PAID BY CUSTOMER TO STACCATO FOR THE SPECIFIC CARE SERVICE AT ISSUE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (II) FIVE HUNDRED U.S. DOLLARS (US $500) IF NO SERVICE WAS COMPLETED. IN NO EVENT SHALL STACCATO BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOSS OF USE, OR DIMINUTION IN VALUE. Nothing in this Section limits liability where such limitation is prohibited by law. Nothing in this Section expands, modifies, or waives Staccato’s separate bailee‑liability limitations.
      5. No Expansion of Bailee Obligations. Nothing in this Section expands, modifies, or waives the separate bailee liability limitations governing any loss of or damage to a firearm while in Staccato’s custody prior to return; such matters are governed exclusively by the Bailment; Risk of Loss; Declared Value (Section 14) provisions in these Terms.
      6. Survival. Customer’s obligations under this Section survive suspension or termination of CARE, any return or disposition of the firearm, and any completion, cancellation, or expiration of the subscription.
  1. Compliance; Law Enforcement; Holds. Staccato may perform serial‑number verification via the FBI’s National Crime Information Center’s (NCIC) stolen firearms database, coordinate with law enforcement, and process ATF traces where appropriate or otherwise required by law. If a firearm submitted under CARE is stolen, blacklisted, or subject to a hold, Staccato may surrender it to law enforcement; no service or return will occur unless and until the firearm returned to Staccato and cleared by law enforcement. Upon any return, Staccato may re inspect and accept or reject in its sole discretion.
  2. Promotions; Non Combinability. Any promotions, coupons, discounts, or limited time offers are subject to availability and to Staccato’s sole discretion. Promotions may not be combined with CARE unless Staccato expressly authorizes such combination in a signed writing for the specific transaction.
  3. Chargebacks; Set Off; Collections. Customer agrees not to initiate chargebacks, reversals, dispute or similar action to evade these Terms; disputes are handled exclusively under the Program Materials. Staccato may set off any amounts owed against any credits or refunds. Customer is responsible for all reasonable costs of collection, including attorneys’ fees, court costs, and interest at the lesser of 1.5% per month or the maximum rate permitted by law.
  4. Data Handling; Privacy; Records; E Sign; Notices.
    1. Program Data and Consent. Staccato may collect, receive, store, use, analyze, retain, and disclose any information, data, photographs, images, documents, communications, and materials provided by me or generated by Staccato in connection with the CARE Program, including without limitation information contained in the Initial Acknowledgements, these Terms, any service confirmations/quotes, Customer statements, identification documents, transaction records, firearms information, serial numbers, inspection results, test fire data, torque logs, service checklists, carrier and shipping data, and communications between me and Staccato (“Program Data”). I consent to the collection, storage, review, use, retention, transmission, processing, and disclosure of Program Data as described in the Program Materials (including the Initial Acknowledgements, these Terms, and Exhibits), including through electronic communications and systems.
    2. License and Permitted Uses. I grant Staccato a perpetual, irrevocable, royalty free, transferable license to use Program Data for all CARE related and other lawful purposes, including administration, verification, inspection, service planning, quality assurance, fraud prevention, compliance reviews, ATF trace requests, NCIC queries, FFL transfers, shipping coordination, recordkeeping, reporting to federal/state/local authorities, training, and internal analytics.
    3. Retention and Storage. Program Data may be retained by Staccato for as long as Staccato deems reasonably necessary or appropriate to satisfy legal, regulatory, compliance, audit, operational, archival, safety, or law enforcement requirements, including under ATF regulations and applicable state or federal laws. Program Data may be stored in digital or physical form, including on third party systems.
    4. Disclosures to Third Parties. Staccato may disclose Program Data to its affiliates, service providers, carriers, payment processors, FFLs, law enforcement agencies, regulators, auditors, or other third parties as reasonably necessary to administer, enforce, or comply with the Program Materials or applicable law.
    5. Third Party Systems; Limitation. Staccato will have no liability for acts or omissions of third party service providers in connection with Program Data except to the extent caused solely and directly by Staccato’s own gross negligence or willful misconduct.
    6. Electronic Communications and Signatures. I consent to electronic communications (including email, customer portal, and SMS where separately consented) and to electronic signatures in accordance with applicable law.
    7. Notices. Notices from Staccato may be provided via email or portal messages and are effective upon transmission.
  1. Miscellaneous.
    1. Governing Law. Any dispute arising under CARE is and will be governed by the laws of the State of Texas, without reference to or giving the effect of any choice of law rules that may cause the application of the law of any other jurisdiction. Any claim, dispute, demand, or cause of action arising out of or under the CARE Program may be brought only in the state courts located and sitting in the County of Williamson, State of Texas, or the U.S. District Court for the Western District of Texas. The parties will not raise, and do hereby waive, any objections or defenses based on venue or forum non conveniens with respect to such courts. By participating in CARE, Customer consents and hereby irrevocably submits to personal jurisdiction in the State of Texas. This Section shall survive the expiration or earlier termination of this Agreement.
    2. Entire Agreement. These Terms, together with the Program Materials (including the Initial Acknowledgements and all Exhibits), constitute the entire agreement between the parties with respect to the CARE Program and supersede all prior or contemporaneous statements, negotiations, estimates, or communications relating to CARE. No other terms, conditions, promises, representations, or understandings—oral or written—shall modify or supplement the foregoing unless set forth in a written instrument signed by Staccato.
    3. Assignment. Customer may not assign any rights or obligations under CARE without Staccato’s prior written consent. Staccato may assign, delegate, or transfer these Terms or any rights or obligations hereunder to its affiliates or successors without notice.
    4. Severability. If any provision of these Terms is found invalid, illegal, or unenforceable, it will be modified to the minimum extent necessary to be valid and enforceable; the remainder shall remain in full force and effect.
    5. Survival. Sections 1 through and including 21 survive termination of the CARE Program and any transaction thereunder.
    6. No Oral Modification; Waiver; Supremacy. These Terms (together with the Initial Acknowledgements and Exhibits) control notwithstanding any contrary implication in emails, calls, service tickets, or marketing. No oral or informal statement modifies these Terms. Any change or waiver must be in a written instrument signed by Staccato expressly referencing the modified section. Failure or delay in enforcing any provision is not a waiver.
    7. Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO CARE OR THESE TERMS.
    8. CLASS/REPRESENTATIVE ACTION WAIVER. To the fullest extent permitted by law, Customer agrees that any claim or dispute shall be brought solely in Customer’s individual capacity, and not as a plaintiff or class member in any purported class, collective, private attorney general, or representative proceeding. No court may consolidate actions or otherwise preside over any form of representative or class proceeding without Staccato’s prior written consent.

EXHIBIT A — UNSAFE MODIFICATIONS (NON‑EXHAUSTIVE)

The presence of any of the following conditions, modifications, alterations, failures, or defects (individually or collectively, “Unsafe Modifications”) renders a firearm ineligible for CARE and voids all applicable Staccato warranties:

  1. Lugs of the barrel and/or slide have been compromised.
  2. Bore of barrel has been compromised.
  3. Chamber has been compromised.
  4. Optic and Optic plates not supported by Staccato.
  5. Changes to firing pin or firing pin spring.
  6. Changes to head spacing or chamber depth.
  7. Frame rails have been compromised.
  8. Slide integrity has been compromised.
  9. Any ignition components that are unsafe, including without limitation aftermarket or modified hammer, sear, disconnector, sear spring, hammer spring, or trigger.
  10. Any safety components that are unsafe, including without limitation aftermarket or modified thumb safeties or firing pin blocks.
  11. Any other condition, alteration, modification, component change, damage, configuration, or omission—whether aftermarket, customer‑performed, third‑party‑performed, or resulting from wear, misuse, neglect, or attempted repair—that creates or may create an unsafe, unlawful, or non‑compliant condition, or that otherwise prevents the firearm from being serviced, inspected, test‑fired, or returned in a safe and lawful state.

NOTE:The presence of any Unsafe Modification makes the firearm ineligible for CARE and voids all applicable Staccato warranties. Notwithstanding anything to the contrary, Staccato has no duty or obligation to detect, diagnose, remediate, or correct any Unsafe Modification. If an Unsafe Modification is present or suspected, Staccato may refuse or halt service and may return the firearm without service, and may return it disassembled where necessary for safety, compliance, or legal reasons. Staccato will not configure, reconfigure, or return any firearm in a manner that Staccato determines would be unsafe or unlawful. All risks associated with any Unsafe Modification—whether pre‑existing, remaining, or later reinstalled—rest solely with the Customer.

STACCATO 2011, LLC – CARE PROGRAM

EXHIBIT B — NON‑COMPLIANCE DECLINATION & LIABILITY WAIVER

  1. Ineligibility Notice. One or more non‑compliant aftermarket parts, Unsafe Modifications (as defined in Exhibit A), or other conditions rendering the firearm ineligible for CARE have been identified. No CARE service will be performed in the current configuration.
  2. Customer Election:
    • ☐ Return without service; OR
    • ☐ Factory re‑installation of eligible factory components at customer expense (if available) – Staccato 2011, LLC (“Staccato”) is not required to offer or perform any re‑installation; availability is not guaranteed.
  3. No Duty; Safety Handling. Customer acknowledges and agrees that Staccato:
    1. has no duty or obligation to detect, diagnose, remediate, correct, or explain any non‑compliant condition, Unsafe Modification, or aftermarket configuration;
    2. may return the firearm without service and may return it disassembled where necessary for safety, compliance, or legal reasons;
    3. will not configure, reconfigure, or return any firearm in an unsafe or unlawful manner.
  4. Release; Covenant Not to Sue; Assumption of Risk. Further to the Terms, Customer knowingly and voluntarily:
    1. releases and forever discharges Staccato, its affiliates, members, managers, officers, employees, insurers, and agents (collectively the “Staccato Parties”) from any and all claims, demands, actions, damages, losses, liabilities, or expenses—known or unknown—arising from or relating to any aftermarket parts, non‑compliant components, or Unsafe Modifications and their presence, performance, effects, installation, removal, substitution, interaction, or use in a firearm submitted to Staccato under CARE;
    2. covenants not to sue any Staccato Party for such matters;
    3. assumes all risks of possession, transport, reassembly, testing, and use after a firearm submitted to Staccato under CARE is returned to Customer.
  5. No Reliance; No Duty to Warn; Warranties Void. Customer acknowledges that all applicable warranties are void; Staccato has made no representations regarding safety, performance, function, or suitability of any aftermarket part or Unsafe Modification; and Staccato has no duty to provide warnings, technical analysis, or instruction regarding such conditions.
  6. Compliance & Costs. Customer is solely responsible for legal compliance and for all third-party FFL, carrier, shipping, insurance, transfer, storage, retrieval, and related fees, unless Staccato expressly states otherwise in a signed writing.
  7. Incorporation; Reaffirmation. Customer reaffirms that all Customer Statements made in the Initial Acknowledgements and Terms are true, correct, complete, and binding, and acknowledges those documents are incorporated by reference into this Exhibit B. Capitalized terms have the meaning assigned to them in the Terms.

EXHIBIT C — CARE SERVICE SUITE (SUBSCRIPTION)

The CARE Service Suite describes the range of services Staccato may perform during a CARE submission. It is not a mandatory checklist and does not obligate Staccato to perform every listed service on every firearm. Staccato determines, based on inspection, safety, compliance, and parts availability, which services (if any) are appropriate for a given submission. No duty is created to detect, diagnose, remediate, or correct any condition not expressly addressed. Staccato’s handling of any firearm—including receipt, inspection, servicing, acceptance, or return—shall never be construed to create, expand, or imply any duty, obligation, or standard of care of any kind. CARE does not cover aftermarket or non compliant components and/or parts, and Staccato provides no warranty regarding any aftermarket configuration or its interaction with serviced components. Staccato may decline or halt service and may return the firearm unserviced or disassembled where required for safety, compliance, or legal reasons. All warranties are void where Unsafe Modifications or non compliant parts and/or components are present.

  2. Replace magazine springs (up to 2 magazines per shipment; excludes 26‑round magazines).
  3. Comprehensive cleaning and lubrication.
  4. Full parts inspection for corrosion and wear.
  5. Update components to current revision as appropriate.
  6. Test extractor tension and fitment.
  7. Test functionality of safeties.
  8. Test trigger fitment/adjustment and verify trigger weight.
  9. Optic/plate verification (if supported by Staccato); apply new Loctite and torque to specification where appropriate.
  10. Polish feed ramp and chamber.
  11. Inspect ejector for damage and fitment.
  12. Test‑fire for function.
