STACCATO 368+ MEMBERSHIP AGREEMENT
TERMS AND CONDITIONS
This Staccato 368+ Membership Agreement, Terms and Conditions (“Agreement”) is by and between the undersigned member (“Member” or “you”) and Staccato 2011, LLC (“Staccato” or the “Club”) and is effective on the date it is signed.
This Agreement is sought by Member for the purpose of becoming a Staccato 368+ member utilizing special privileges and member considerations as set forth herein (“Membership”). Accepting that Membership has substantial and significant value and in consideration of the mutual promises and agreements contained herein and other consideration, the receipt and sufficiency of which are hereby acknowledged, the Member and Staccato do hereby agree as follows:
Membership Period and Renewal
Eligibility is limited to individuals who own at least one Staccato pistol and are at least 18 years old. Staccato reserves the right to approve, deny, or revoke Membership at its sole discretion, ensuring the Membership remains exclusive to dedicated Staccato pistol owners. Membership is non-transferable and limited to the individual named herein. Member privileges shall become active following the date of issuance of the membership by Staccato. Membership will automatically renew annually provided the member remains in good standing with Staccato. Membership is offered exclusively on an annual basis. Annual dues shall be paid in full at the start of each Membership year. Dues for the Membership are non-refundable, regardless of usage or termination date. The Membership will automatically renew annually, provided the Member remains in good standing, unless the Member provides written notice of non-renewal prior to the expiration of the then-current membership year.
Staccato may revoke your membership, in its sole and absolute discretion, if you violate the terms of this Agreement, become ineligible to legally possess a firearm under federal law or applicable state law, violate the Safety Rules and Regulations in place at the time of this Agreement and as adopted and modified from time to time (the “Rules”) or fail to pay any of the charges that come due, whether related to the Membership or otherwise. No portion of your initiation fee, if any, or Membership fee will be refunded if your Membership is revoked for any of these reasons. In addition, Staccato may revoke your Membership, in its sole and absolute discretion, if any guest of the Member violates the Safety Rules and Regulations in place at the time of the guest’s appearance at Staccato. It is the Member’s sole responsibility to ensure that the Member and each guest of the Member is fully aware of and properly follows the Nevada PF, LLC d/b/a Staccato Vegas (“Staccato Vegas”) and Staccato Ranch Texas, LLC (“Staccato Ranch” and collectively with Staccato Vegas, the “Staccato Ranch Facilities”) respective Range Safety Rules and Regulations and Rules of Etiquette, and is eligible to legally possess a firearm under federal and applicable state law
Membership Privileges and Benefits
In consideration of Member’s payment of Fees and compliance with this Agreement, for the duration of the Membership term, the Member will receive certain benefits determined by the Club, which may be changes, modified, amended, or discontinued at the Club’s sole discretion. As of the date this Agreement was published, Membership privileges include (“Privileges”):
- Facility Access: Members are entitled to a total of ten (10) visits per Membership year to the Staccato Ranch Facilities, which include indoor and outdoor pistol ranges, shotgun ranges, and 5-stand ranges, subject to availability in each case. Members also receive access to designated bays at Staccato Vegas. The ten (10) visits are cumulative across all facilities and do not reset or multiply per location. For example, a Member may elect to use all ten (10) visits at Staccato Vegas; however, once the annual visit limit is reached, no further visits may be utilized under the Membership at either Staccato Vegas or Staccato Ranch until the next Membership year without the purchase of a Day Pass.
- Guest Privileges: Members may bring up to four (4) guests per visit. Each individual guest may visit a maximum of four (4) times per membership year to the Staccato Ranch Facilities. Guest access is otherwise unlimited on a monthly basis, provided the Member is present and in compliance with this Agreement.
- Experience Passes and Discounts:
- Four (4) Staccato 368 experience passes annually.
- Ten percent (10%) discount on additional Staccato 368 experience passes following the utilization of the initial four (4) passes.
- Ten percent (10%) discount on HAVOC courses, firearms rentals, and sporting clays course shooting.
- Sporting clays offered at a preferred rate of $0.35 per clay.
- Day Passes available to members for purchase $36 per pass based on availability
- Exclusive Member Benefits:
- Seven (7) day early access to certain product launches at Staccato’s discretion.
- Guaranteed sixty (60) day delivery on transfers and purchases.
- Exclusive event pricing.
- Ten percent (10%) discount on ammunition purchased at the Staccato Ranch Facilities.
- Ten percent (10%) discount on apparel and headwear online and at the Staccato Ranch Facilities.
- Digital “First Look” content.
- Invitations to member-only and nationwide events.
- Exclusions: The following benefits are not included in the Membership:
- Family add-ons
- Long-range access
- Gunsmithing services
- Pistol purchase benefits
- Any other privileges not expressly listed above
- Fee Structure: $500 per year. One-time initiation fee is waived.
The Club reserves the right to offer discounts on the annual and/or one-time initiation fees for the Membership or any other category of membership to certain individuals in its sole discretion, including, but not limited to, veterans, active-duty members of the military, law enforcement, first-responders, and/or employees of Staccato or other companies. The amount of discount offered may vary and may change or be discontinued at any time.
Membership in the Club does not constitute an investment in the Club or the Staccato Ranch Facilities, nor does it confer any vested or prescriptive right, easement, equity, or ownership interest in the Club, its facilities, or any related property. Membership solely grants a limited, revocable, non-exclusive license to access Privileges in accordance with this Agreement, subject to the terms and conditions of the then-existing Privileges, which may be amended, modified, or discontinued by the Club at its sole discretion without notice.
To maintain access to Privileges, Member must: (a) Maintain valid ownership of at least one Staccato pistol and provide updated verification upon request; (b) Comply with all Club rules, Staccato policies, and applicable laws; (c) Not share Privileges, login credentials, or confidential information with non-members; (d) Not use Privileges for commercial purposes, resale, or competitive activities; (e) Grant Staccato a perpetual, royalty-free license to use any feedback, ideas, or content submitted by Member in connection with the Club to enhance Privileges for all members. Staccato retains authority to manage the Club and may use Member data for marketing, product improvement, or other purposes per its privacy policy, ensuring a tailored Club experience.
The Club may change the annual membership fee at renewal upon notice to you, but such a change will only take effect once your then-current membership has ended. If you do not wish to pay the new membership fee, your sole remedy will be to not renew your membership for the next membership term, as set forth above. The Club also reserves the right to change the amount of the one-time initiation fee for new members at any time.
You may apply for membership at Staccato Vegas and/or Staccato Ranch at any time during your current membership term. At the Club’s sole discretion, it may provide a partial reimbursement of the current annual membership or apply any apportioned share toward a Staccato Vegas and/or Staccato Ranch membership under such circumstances, but the Club has no obligation to do so.
You may cancel your membership at any time; however, there are no refunds for cancellation. If you cancel your membership before the end of your then current term, then you will have access to your membership privileges for the remainder of the then existing membership term; provided that you continue to comply with all terms of this Agreement and all applicable Rules. If you cancel your membership, and apply for membership again in the future, if the Club accepts your application, you will be required to pay the initiation fee in place at the time of your new application for the category of membership for which application is made. If the Club revokes your membership, you acknowledge and agree that you will receive no refund or exchange for any unused time on a membership. If the Club revokes Member’s membership for any reason, including but not limited to non-payment, breach of this Agreement, or at the Club’s discretion, Member shall not be entitled to any refund, credit, or exchange for unused membership time or Fees. The Club reserves the right to allow an individual member to suspend membership without having to reapply and pay a new initiation fee if accepted, in its sole and exclusive discretion. If Member reapplies for membership after cancellation, and the Club accepts the application, Member must pay the initiation fee applicable at the time of reapplication for the selected membership category.
THE CLUB AND ALL PRIVILEGES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE CLUB DOES NOT GUARANTEE THE AVAILABILITY, QUALITY, CONTINUITY, OR SUITABILITY OF PRIVILEGES, AND ALL USE OF PRIVILEGES IS AT MEMBER’S SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACCATO, THE STACCATO RANCH FACILITIES, AND EACH OF THEIR PARENTS, AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, MANAGERS, CONTRACTORS AND LICENSORS (“STACCATO PARTIES”) SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE CLUB, OR THE USE OR INABILITY TO USE PRIVILEGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE STACCATO PARTIES’ TOTAL LIABILITY TO MEMBER OR GUESTS FOR ANY CLAIM ARISING UNDER OR RELATED TO THIS AGREEMENT AND/OR MEMBER OR GUEST’S VISIT TO THE STACCATO RANCH FACILITIES EXCEED THE TOTAL AMOUNT OF FEES PAID BY MEMBER FOR THE CURRENT MEMBERSHIP TERM. MEMBER’S SOLE REMEDY FOR DISSATISFACTION IS NON-RENEWAL OF MEMBERSHIP.
Member agrees to indemnify, defend, and hold harmless Staccato, Staccato Ranch Facilities (as a third-party beneficiary to this Agreement), its parents, subsidiaries, affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to: (a) Member’s use of or inability to use Privileges; (b) Member’s breach of this Agreement; (c) Member’s violation of any applicable law or third-party rights; or (d) Any actions, omissions, or conduct of Member in connection with the Club.
The Club and Staccato Ranch Facilities shall not be liable for any failure to provide Privileges due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, government actions, pandemics, or technical failures.
Safety Rules
Before any Member is given access to the Staccato Ranch Facilities, each Member must complete an in-person orientation and safety briefing with a Staccato Ranch Facilities employee. This meeting will be pre-arranged at the Member’s convenience, and will be modified to your specific interests. In addition, Staccato and Staccato Ranch Facilities reserve the right to require additional competency and/or proficiency testing for any Member depending upon the type of activity in which the Member seeks to participate.
Safety is one of Staccato’s primary goals, and it is up to you, the Member, to ensure all Members and guests have a safe and enjoyable experience, each and every time. For that reason, the firearm safe handling rules must be adhered to fully and completely, without compromise. All Members and their guests must comply with the Staccato Ranch Facilities’ Safety Rules and Regulations at all times. The Staccato Ranch Facilities may revise or amend its Safety Rules and Regulations at any time, and they will become effective upon being posted at the Staccato Ranch Facilities and/or provided to the Membership. Staccato Ranch Facilities may temporarily shut down the Ranges at any time, for any reason, in their sole discretion, including, but not limited to, because of inclement weather, an injury, special event, etc.
Guest Policy
Guests of a Member are permitted access to the Club in accordance with the terms and conditions of the Privileges, so long as the Member is present at all times with the guest(s). Guest access and/or fees may be changed, amended, revoked or terminated, with or without notice.
Before being given access to the Club and its facilities, each guest must complete the GUEST RELEASE, HOLD HARMLESS, AND WAIVER OF LIABILITY AGREEMENT (“Liability Waiver”) available on the Staccato Ranch Facilities’ websites or at the Staccato Ranch Facilities. Liability Waivers should be executed at least once per year by each Guest, but the failure to do so does not abrogate the terms and conditions of the prior executed Liability Waiver.
As the Member, you are responsible to ensure that each and every guest you bring to the Staccato Ranch Facilities is legally eligible to possess a firearm under federal law and in the applicable state laws. This means that every guest must meet the laws of the United States and the appliable state laws with respect to legally possessing a firearm, including, but not limited to, having no disqualifying civil, criminal charges, orders and/or criminal convictions (no felony convictions or convictions for misdemeanors for domestic violence), be a United States citizen or a qualifying legal alien, not having been dishonorably discharged from the military, having no orders of protection issued against the guest, not having been adjudicated mentally defective or been involuntarily committed to a mental institution, or being an illegal user of controlled substances. By allowing your guest(s) to execute the Liability Waiver and signing the Guest Logbook, you, as the Member, acknowledge that to the best of your information, your guest(s) are legally eligible to possess firearms under federal, Texas and/or Nevada law, and that they are properly trained and competent to handle firearms.
While guests are welcome to the Staccato Ranch Facilities, each guest is only permitted to use the Club four (4) times per year, no matter who brings that guest to the Club.
Agreement to Pay for Damages
Member agrees to assume all liability and pay for any damage caused by the Member or his/her guest(s) to Staccato Ranch Facilities’ property, including, but not limited to, the ranges, tables, counters, rental firearms, target carriers, trash cans, the floor, any part of the shooting stalls and benches, doors, soundproofing material on walls, light fixtures, bulbs, windows, switches, etc. and the personal property of any other person. This agreement to pay for damages applies regardless of whether the damages are caused intentionally, willfully, recklessly, negligently, accidentally, or without any fault on the part of the Member. If Staccato is required to commence a legal proceeding against the Member to collect monies owed for such damages covered by this Agreement, Member agrees to reimburse Staccato for all reasonable costs it incurs in connection with such proceeding, including attorney fees, court costs, and investigative costs.
Membership Payment Provisions
The Club may use a third-party payment processor (the “Payment Processor”) to bill for all membership and ancillary charges through a payment account linked to your account (your “Billing Account”). The processing of payments will be subject to the terms, conditions, and privacy policies of the Payment Processor in addition to these Terms. The Club is not responsible for the Payment Processor’s actions or omissions, including without limitation, any errors by the Payment Processor. By applying for a membership, you agree to pay the Club, through the Payment Processor, all charges at the prices then in effect for your membership and ancillary charges in accordance with the applicable payment terms, and you authorize us, through the Payment Processor, to charge your chosen payment provider (for example, a credit or debit card you provide) (your “Payment Method”). You agree to make payment using that selected Payment Method. The Club reserves the right to correct any errors or mistakes that the Payment Processor makes even if it has already requested or received payment.
The terms of your payment will be based on your Payment Method as determined by agreements between you and the financial institution, credit card issuer, or other provider of your chosen Payment Method. If we, through the Payment Processor, do not receive payment from you on time, you agree to pay all amounts due on your Billing Account upon demand. If you do not pay charges you owe on time (including if any correct charge to your credit or debit card is not authorized), we may suspend or terminate your Privileges and/or Membership (and we reserve the right to pursue any available legal remedy to collect the amount owed by you). However, charges will continue to be incurred until your membership is cancelled. We may also charge a late fee equal to ten percent (10%) of any unpaid amount, plus interest at the rate of eighteen percent (18%) (or such lower rate that is permitted by law) from the date owing until paid.
Non-termination or continued use of a membership reaffirms that the Club is authorized to charge your Payment Method for the applicable membership fees. The Club may submit those charges for payment, and you will be responsible for such charges. However, we do not waive any right to seek payment directly from you. Membership charges may be payable in advance, per usage, or as otherwise described pursuant to the Club’s then current terms.
You must provide current, complete, and accurate information for your billing account promptly following our request for that information. You must also promptly update all information to keep your billing account current, complete, and accurate (such as a change in billing address, credit card number, or credit card expiration date), and you must promptly notify Staccato at memberships@staccatoranch.com or our Payment Processor if your Payment Method is cancelled (e.g. for loss or theft). If you fail to provide any of the foregoing information, you agree that we may continue charging you for any use of your membership under your billing account unless you have terminated your membership as set forth above.
Miscellaneous
Every term and provision of this Agreement is intended to be severable. If any one or more of them is found to be unenforceable or invalid, that shall not affect the other terms and provisions, which shall remain binding and enforceable. This Agreement shall be governed by Texas law, without regard to its conflict of laws rules, and all claims, controversies, disputes or suits shall be litigated exclusively in state court in Williamson County, Texas, and Member agrees to be subject to personal jurisdiction in said court. This Agreement is entered into voluntarily after careful consideration, and is binding upon the person signing below, their heirs, successors, assigns, executors, administrators, wards, minor children and other family members. This Agreement shall remain in effect and cover future occasions after the date on which this Agreement is signed. This Agreement contains the entire agreement between the Parties with respect to the subject matter hereof. Any failure to enforce any provision of this Agreement shall not constitute a waiver thereof or of any other provision hereof. This Agreement may not be amended, nor any obligation waived, except by a writing signed by both Parties hereto.
